Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and RoomCraft Design Studio ("Studio," "we," "our," or "us"), governing your access to and use of our interior design, 3D visualization, and related professional services. By submitting a project inquiry, signing a project proposal, making a payment, or otherwise engaging with our services, you affirm that you have read, understood, and agree to be bound by these Terms in their entirety.
If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with any provision of these Terms, you must not engage with our services.
These Terms apply to all clients, project types, and service tiers offered by RoomCraft Design Studio, including but not limited to residential interior design, commercial design projects, standalone 3D rendering services, virtual tours, floor plan creation, and material specification consulting. Any services not explicitly listed remain subject to these Terms unless a separate written agreement is executed.
We reserve the right to refuse service to any individual or entity at our sole discretion. Acceptance of a project inquiry does not constitute a binding commitment until a formal proposal has been issued and a deposit has been received. Until that point, we are under no obligation to proceed with any project.
Important: These Terms do not require a separate signature to be binding. Your engagement with our services — including payment of any deposit — constitutes full acceptance of these Terms and all policies referenced herein.
Description of Services
RoomCraft Design Studio provides professional interior design and 3D visualization services to residential and commercial clients worldwide. Our service offerings include, but are not limited to:
- Interior Design Concepts: Space planning, style direction, mood boards, material palettes, and design narratives tailored to your space and vision.
- Floor Plans: AutoCAD-produced technical floor plans, furniture layout plans, and spatial relationship diagrams in DWG and PDF formats.
- 3D Visualization: Photorealistic rendering of interior spaces in high-definition (HD and 4K), including single-room and multi-room perspectives with professional lighting.
- Interactive 3D Files: Editable project files in SketchUp, 3ds Max, or Blender format for client review, contractor reference, and implementation guidance.
- Virtual Tours: 360-degree interactive walkthroughs of designed spaces for immersive client presentation and stakeholder review.
- FF&E Specification: Detailed furniture, fixtures, and equipment schedules with sourcing recommendations, specifications, and vendor information.
- Material Boards: Curated material and finish selections presented in digital format with product codes and supplier references.
- Consultation Services: Advisory sessions covering space planning, design direction, and project strategy delivered remotely.
The specific deliverables, timeline, and scope of each project are defined in the project proposal or service agreement provided to the Client prior to project commencement. Any services not explicitly listed in the proposal are not included in the agreed scope and may require additional fees if added after the proposal is accepted.
We reserve the right to decline, modify, or discontinue any service at our discretion, provided that we fulfill all commitments made under existing confirmed projects. We do not provide construction management, on-site project management, or architectural engineering services. Our deliverables are for design and visualization purposes only and do not constitute architectural or structural drawings.
Engagement Process
Our standard engagement process is structured to ensure clarity, alignment, and quality at every stage of the project. The typical flow of a project engagement with RoomCraft Design Studio proceeds as follows:
- Initial Inquiry: Client submits a project inquiry through our website contact form or via direct communication. We review the request and respond within 24 business hours with initial questions or a request for a discovery call.
- Discovery Call / Brief: We conduct an initial consultation (video or written) to understand the scope, style preferences, budget, and timeline of the project. The Client completes a project brief form with all relevant space information.
- Proposal: We prepare a detailed written proposal outlining deliverables, timeline, pricing, revision rounds, and payment schedule. The proposal is valid for 14 days from the date of issue.
- Agreement & Deposit: Upon Client acceptance of the proposal, a deposit (50% of the total project fee) is required to initiate work. No work begins prior to receipt of the deposit and written confirmation of acceptance.
- Design Development: We develop the design concept and deliver milestone drafts for Client review at agreed intervals as specified in the proposal timeline.
- Revisions: Client feedback is incorporated within the agreed number of revision rounds as specified in the proposal. Additional rounds are billed separately.
- Final Delivery: Upon approval of the final design and receipt of the remaining balance, all agreed deliverables are packaged and transferred to the Client via secure file sharing.
Project timelines are estimates based on normal workflow and assume timely responses from the Client. Delays caused by late feedback, extended Client approval periods, incomplete information, or non-payment may extend the delivery timeline without any obligation on our part to compensate for the resulting delay. In cases of significant delay caused by the Client, we reserve the right to reassign project resources and reschedule delivery.
Note on remote work: RoomCraft Design Studio operates as a fully remote studio. All communication, deliverables, payments, and reviews are conducted digitally. We do not make in-person site visits as part of our standard service offering.
Payments & Fees
All fees for services provided by RoomCraft Design Studio are stated in US Dollars (USD) unless otherwise agreed in writing. Pricing is project-specific and defined in the proposal. The following payment structure applies to all standard engagements:

Late payments: Invoices are due within 7 calendar days of issue. In the event of non-payment, we reserve the right to suspend or pause work on the project until the outstanding balance is settled. Final deliverables will not be released until all outstanding fees have been paid in full. Repeated late payment may result in termination of the engagement under the terms of Section 10.
Additional fees: Work requested beyond the agreed scope — including additional revision rounds, additional rooms, file format conversions, or rush delivery — will be quoted separately and require written approval before commencement. We will always communicate additional costs in advance and will not begin out-of-scope work without explicit Client authorization.
Rush fees: Projects requiring delivery faster than the standard timeline outlined in the proposal may be subject to a rush surcharge of 25–50% of the relevant deliverable cost, depending on the urgency and scope of acceleration required. Rush fees are communicated at the time of the rush request.
Currency and taxes: Unless otherwise agreed, all fees are exclusive of applicable taxes. Clients are responsible for any local taxes, duties, or levies applicable to the purchase of design services in their jurisdiction. We do not charge US sales tax on digital design services delivered internationally.
Payment security: All payments are processed securely through our payment provider. We do not store card details. Accepted methods include major credit cards, bank transfers, and other methods as specified in the invoice.
Intellectual Property
All design work, concepts, renders, floor plans, 3D models, mood boards, written specifications, and other creative materials produced by RoomCraft Design Studio ("Design Work") remain the intellectual property of RoomCraft Design Studio until full payment has been received. Upon receipt of final payment, the Client receives a limited, non-exclusive, non-transferable license to use the delivered materials for the stated purpose of the project.
Portfolio rights: We reserve the right to use any completed project work in our portfolio, case studies, website, social media, and marketing materials unless the Client has requested confidentiality in writing prior to project commencement, or unless a Non-Disclosure Agreement (NDA) is in effect. We will credit project type and general location but will not disclose Client identity without explicit consent.
- Clients may not resell, license, or distribute Design Work to third parties without prior written consent from RoomCraft Design Studio
- Clients may not claim authorship or creative credit for Design Work produced by our studio
- Modification of delivered 3D files, renders, or drawings for purposes outside the agreed scope requires prior written authorization
- Source files (.max, .blend, .skp, .dwg) are transferred only when explicitly included in the agreed project scope
- Design Work may not be used in AI training datasets, generative model training, or any automated learning system without our written consent
RoomCraft Design Studio retains all rights to its underlying tools, processes, templates, proprietary workflows, and creative methodologies. Nothing in these Terms transfers ownership of our working methods or software assets to the Client. Our studio's name and branding may not be used in connection with delivered work without prior written authorization.
Client Obligations
A successful design project depends on clear and timely communication from both parties. As a Client, you agree to fulfill the following obligations throughout the engagement. Failure to meet these obligations may affect project quality, timeline, and our ability to deliver the agreed scope.
- Accurate information: Provide complete, accurate, and truthful information regarding your space, including dimensions, existing conditions, structural constraints, building regulations, and project requirements. Inaccuracies that result in design rework may incur additional fees.
- Timely feedback: Respond to milestone deliverables, design drafts, and revision requests within the agreed review period (typically 5–7 business days). Extended silence beyond 14 business days without prior notice may result in project delays, storage fees, or project suspension.
- Clear communication: Provide actionable, consolidated feedback per revision round. Multiple rounds of conflicting, piecemeal, or contradictory feedback may be counted as additional revision rounds at our discretion.
- Decision authority: Ensure that the person communicating with us has full authority to approve design decisions. We cannot be held responsible for delays caused by internal approval processes on the Client's side.
- Payment compliance: Fulfill all payment obligations on the dates specified in the invoice or proposal without requiring repeated follow-up.
- Legal compliance: Ensure that the designed space and its intended use comply with all local building codes, zoning regulations, fire safety standards, and applicable laws. We provide design services only and are not responsible for the regulatory compliance of any physical construction or build-out.
- Professional conduct: Communicate with our team in a respectful and professional manner. We reserve the right to terminate an engagement in the event of abusive, threatening, or harassing conduct.
Revisions & Scope Management
Each project tier includes a defined number of revision rounds as specified in the project proposal. A "revision round" is defined as one consolidated set of written feedback submitted by the Client following delivery of a milestone, after which we make all requested changes and deliver an updated version of the relevant deliverable.
A revision round is not the same as a complete redesign. Revisions are understood to mean adjustments, refinements, and modifications within the established design direction that has been approved by the Client. Requests that fundamentally change the concept, style direction, spatial layout, or scope of the project after the design direction has been approved constitute a new scope of work and will be quoted and billed as a change order.

We will always notify you before beginning work that falls outside the agreed scope and will not proceed without your written authorization. Our goal is never to charge you unnecessarily — the revision structure exists to maintain project efficiency and fair scheduling for all clients.
Confidentiality
Both parties acknowledge that during the course of a project, each may have access to confidential information belonging to the other. "Confidential Information" means any information that is not publicly available and is disclosed in the context of the project engagement, including but not limited to design preferences, personal space layouts, financial arrangements, business plans, proprietary methods, and personal data.
RoomCraft Design Studio agrees to treat all Client project information with strict confidentiality and will not disclose it to any third party without the Client's explicit written consent, except as required by law or as strictly necessary to fulfill the contracted services — for example, sharing a floor plan with a material supplier to verify dimensions.
Clients who require a formal Non-Disclosure Agreement (NDA) prior to project commencement may request one. We are happy to sign a mutual NDA at no additional cost. In the presence of a signed NDA, portfolio use of the project work will be restricted as agreed in the NDA terms. Without a signed NDA, we retain the right to feature completed work in our portfolio, subject to reasonable anonymization if requested by the Client in writing.
These confidentiality obligations survive the termination or completion of the project engagement and remain in effect for a period of three (3) years following the end of the engagement, unless a separate NDA specifies a different duration or broader scope of protection.
Limitation of Liability
RoomCraft Design Studio provides design and visualization services. Our deliverables are creative and advisory in nature. We make no warranties, express or implied, regarding the fitness of our designs for any particular purpose beyond that stated in the project brief, or the physical buildability of designs in all jurisdictions and construction contexts.
To the maximum extent permitted by applicable law, our total liability to the Client for any claims arising from or related to our services shall not exceed the total fees paid by the Client for the specific project to which the claim relates. Under no circumstances shall our liability include loss of profit, loss of business, loss of anticipated savings, or any other consequential or indirect loss.
- We are not liable for discrepancies between rendered visualizations and the final physical result of a build, as renders represent an idealized design intent rather than a guaranteed physical outcome
- We are not responsible for contractor errors, construction defects, or third-party misinterpretation of our design documents
- We are not liable for product availability, pricing changes, or discontinuation of materials recommended in our specifications after the date of delivery
- We are not liable for delays caused by Client inaction, incomplete briefs, or late payment
- We are not responsible for the outcome of any physical construction, renovation, or build-out executed using our design documents
Note: Nothing in these Terms limits liability for fraud, willful misconduct, gross negligence, or any other liability that cannot be excluded or limited under applicable law.
Termination
Either party may terminate a project engagement under the following conditions. Termination does not relieve either party of obligations incurred prior to the termination date, including payment obligations for work completed.
Termination by Client: The Client may terminate the engagement at any time by providing written notice. In the event of Client-initiated termination, the deposit is non-refundable in all cases. If work has progressed beyond the deposit-covered phase, the Client is responsible for payment of all work completed to date, calculated on a pro-rata basis against the total project fee. Any completed deliverables produced up to the point of termination will be transferred to the Client upon receipt of all outstanding payments.
Termination by Studio: We reserve the right to terminate the engagement if the Client materially breaches these Terms, including but not limited to: failure to pay invoices within 14 days of due date, abusive or harassing conduct toward our team, repeated failure to provide necessary information despite reasonable requests, or direction to produce work that violates ethical standards or applicable law. In the event of Studio-initiated termination due to Client breach, the Client forfeits the deposit and remains liable for work completed to the termination date.
Mutual termination: Both parties may agree in writing to terminate the engagement under mutually agreed terms. Any refunds or outstanding payments will be resolved as negotiated and documented in a written termination agreement signed by both parties.
Project abandonment: If a project has been on hold for more than 90 consecutive days without communication from the Client, and we are unable to reach the Client after two written notices, we reserve the right to treat the project as abandoned. In such cases, all payments received are forfeited and no further deliverables will be produced.
Governing Law & Disputes
These Terms of Service and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Missouri, United States of America, without regard to its conflict of law provisions. The parties expressly agree to submit to the personal jurisdiction of the courts located in St. Louis County, Missouri for any disputes that are not resolved through the alternative dispute resolution process described below.
In the event of a dispute arising from or relating to these Terms or any project engagement, the parties agree to first attempt good-faith resolution through direct communication. A written notice of dispute must be submitted, and the parties will have 30 days from the date of that notice to attempt informal resolution before escalating further.
If a dispute cannot be resolved informally within 30 days, either party may pursue resolution through binding arbitration administered by a mutually agreed arbitrator in St. Louis County, Missouri. The arbitration shall be conducted in English. The arbitrator's decision shall be final, binding, and enforceable in any court of competent jurisdiction. Each party shall bear its own costs for arbitration unless the arbitrator determines otherwise.
Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm, particularly in cases involving unauthorized use of intellectual property or breach of confidentiality obligations.
Changes to These Terms
We reserve the right to update or modify these Terms of Service at any time. Material changes will be communicated via a notice on our website and, where applicable, direct communication to clients with active projects. The updated Terms will become effective on the date posted on our website.
For clients with projects in progress, the Terms in effect at the time the project proposal was accepted will continue to apply to that project unless the Client expressly agrees in writing to the updated Terms. For new projects initiated after the update date, the most current version of these Terms will apply automatically upon commencement of the engagement.
We encourage all clients and prospective clients to review these Terms periodically. Previous versions of these Terms are available upon request. By continuing to engage with our services after changes are posted, you accept and agree to the revised Terms. If you disagree with any material change, you have the right to terminate your engagement in accordance with Section 10.
